LEGAL JURISDICTION AND DISPUTE RESOLUTION

PART A

THE NIGERIAN STATUTORY BASIS - LOCAL AUTHORITY

This agreement and all residency contracts are governed by the Laws of the Federation of Nigeria, including the Land Use Act (1978). All assets within the portfolio are held under valid Certificates of Occupancy (C of O) or Governor’s Consent, ensuring the principal’s right to quiet enjoyment is backed by Nigerian constitutional property rights. Any physical breach of the peace or criminal damage to the asset will be resolved via the Nigerian Police Force and the High Court of the State where the asset is situated.

SECTION 1:

GOVERNING AUTHORITY - FEDERAL REPUBLIC OF NIGERIA

This agreement and all residency contracts are governed by the Laws of the Federation of Nigeria, including the Land Use Act (1978). All assets within the portfolio are held under valid Certificates of Occupancy (C of O) or Governor’s Consent, ensuring the principal’s right to quiet enjoyment is backed by Nigerian constitutional property rights. 1.1 GOVERNANCE AND ROOT OF TITLE

All agreements and residency contracts are governed by the Laws of the Federation of Nigeria, including the Land Use Act (1978). Any dispute regarding the asset or service shall be interpreted under the statutory and customary laws applicable in the State where the asset is located (e.g., Lagos State Lands Bureau or FCT Administration).

1.2 MANDATORY PRIVATE ARBITRATION - NIGERIAN ACT

In accordance with the Arbitration and Mediation Act (2023), both parties agree that any dispute, claim, or controversy shall be settled exclusively through Binding Private Arbitration.

  • WAIVER OF LITIGATION

    Both parties irrevocably waive their right to a public trial in the State High Courts.

  • THE ARBITRATOR

    The matter shall be settled by a single, independent arbitrator appointed under the rules of the Lagos Court of Arbitration (LCA) or the Chartered Institute of Arbitrators (CIArb) Nigeria Branch.

  • CONFIDENTIALITY

    All proceedings, evidence, and awards shall remain strictly confidential, protecting the principal’s identity and the firm’s operational secrets.

1.3 PERFECTION OF TITLE AND CONSENT

The Principal acknowledges that the Firm maintains all necessary Governor’s Consents and Certificates of Occupancy (C of O) for all the property portfolio, ensuring that the residency is fully backed by Nigerian constitutional property rights.

PART B

JURISDICTIONAL GOVERNANCE AND INTERNATIONAL ARBITRATION

This agreement is governed by the substantive laws of the Federal Republic of Nigeria. However, for international principals, the enforcement of any arbitral award shall be governed by the United Nations Convention on the Recognition and Enforcement of Foreign Arbitral Awards (The New York Convention), to which Nigeria is a signatory.

SECTION 2:

DUAL JURISDICTIONAL CLAUSE

2.1 FORUM SELECTION THE LAGOS COURT OF ARBITRATION - LCA

All disputes shall be resolved via binding arbitration at the Lagos Court of Arbitration. This forum is selected for its international neutrality and its adherence to the UNCITRAL Arbitration Rules, ensuring that the proceedings meet the highest global standards for UHNWI commercial disputes.

2.2 WAIVER OF PUBLIC LITIGATION AND JIRY TRIAL

In accordance with both Nigerian law and international commercial practice, all parties irrevocably waive their right to pursue claims in any public court of law. This "Privacy Mandate" ensures that all disputes are settled behind closed doors, protecting the Sovereign Collection’s operational secrets and the Principal’s global reputation.

2.3 LANGUAGE AND SEAT

The seat of arbitration shall be Lagos, Nigeria, or any neutral international venue agreed upon by the Principal Negotiator. The language of all proceedings and documentation shall be English.

SECTION 3:

THE FINAL WORD

3.1 CHOICE OF JURISDICTION

All EZNGP agreements, including the Sovereign Accord, are governed by and construed in accordance with the laws of the firm's chosen "Home Jurisdiction." Regardless of where a Fixed Asset is physically located, the legal interpretation of our contracts happens on our terms, in our territory.

3.2 MANDATORY PRIVATE ARBITRATION

In the event of a disagreement, the Principal waives the right to a jury trial or public court proceeding. All disputes shall be resolved through Binding Private Arbitration.

This ensures that:

  • PRIVACY IS MAINTAINED: No public filings or "leaked" court documents.

  • EFFICIENCY IS PRIORITISED: We avoid the slow, bureaucratic nature of the standard legal system.

  • EXPERTISE IS UTILISED: Arbitrators must be familiar with high-level real estate and private security standards.

3.3 THE NEGOTIATORS PRECEDENCE

The lead executive of EZNGP maintains a "First-Right-to-Cure." Before any formal dispute process begins, a mandatory 14-day "Executive Negotiation Period" is required. Most issues are settled with precision at this stage, maintaining the power dynamic within the firm.

3.4 NON-DISPARAGEMENT AND SILENT RESOLUTION

As part of any dispute resolution, the Principal is bound by a permanent, irrevocable non-disparagement clause. Any attempt to damage the "Sovereign" brand of EZNGP through public reviews, social media, or third-party agents during or after a dispute will result in immediate "Liquidated Damages" and legal counter-action.

3.5 FEE SHIFTING AND SOVEREIGNTY PROTECTION

If a principal initiates a frivolous dispute or attempts to bypass the "Iron Gate" legal framework, they are contractually obligated to pay all of EZNGP’s legal fees, security costs, and "Brand Mitigation" expenses. We protect the firm’s treasury with the same intensity as our Fixed Assets.

3.6 SEVERABILITY

If any part of this accord is found to be unenforceable by a specialized arbitrator, the remainder of the Sovereign Accord and its operational policies remain in full, absolute effect.
